Saudi Ministry of Commerce's 10 Market Rules Against Concealment Start With Keeping Business Money Out of Your Personal Account

The Ministry of Commerce is one of the top searches in Saudi Arabia today, November 2, 2026, and behind it sit two direct messages for every business owner. First: on October 29 the National Anti-Concealment Program set out 10 criteria for businesses to comply with market rules, including a dedicated business bank account, no personal accounts in business dealings, electronic payment options, and invoices issued and stored electronically. Second: on November 1 the Ministry said that an activity requiring a licence is struck from the commercial register if the licence is not issued within 90 days of registration. Your step today: separate business money from your own, give every riyal a digital trail, and check your licence dates. If you are also preparing for the Commercial Transactions Law, read our article on getting records and contracts in order.

What exactly did the Ministry announce?

According to the Ministry of Commerce news release, the National Anti-Concealment Program stressed that businesses must follow the market rules approved by government bodies, and set out 10 core criteria. We grouped what the release lists into 4 sets so they are easier to check:

  • Register and licences: an active commercial register updated with all data and required licences, renewed business licences, and updated business addresses.
  • Money: a dedicated business bank account, no personal accounts in business dealings, documentation of all financial transactions, electronic payment options, and invoices issued and stored electronically.
  • Workforce: registration in the Wage Protection program, recorded wage data, all employment contracts documented electronically, and no irregular workers.
  • Ownership and financing: not giving a non-Saudi tools that allow absolute control of the business, and obtaining financing through regulated channels with documented transactions.

What stands out is that most of these criteria are not measured by what a business says, but by the trail its systems leave: a bank statement, a stored invoice, a documented contract, a recorded wage.

Your personal account is not your business account

The most common mistake in small businesses is the owner receiving customer payments into a personal account, or paying suppliers from it, and sorting it out later. The criterion is clear: a dedicated business bank account, and no personal accounts in its dealings. In practice:

  • Every collection channel lands in the business account: the point-of-sale terminal, your online store's payment gateway, and customer bank transfers.
  • What you take for yourself is recorded as a drawing from the business account with a clear entry, so personal and business spending never mix.
  • Connect the bank statement to your accounting system so every bank movement is matched to an invoice or expense, and any amount without a document shows up immediately instead of during an audit.

Electronic payment and electronic invoices: a digital trail for every riyal

The next two criteria, providing electronic payment and issuing and storing invoices electronically, complete the first. When a customer pays by card or transfer and receives an invoice from your system, the transaction is documented on two sides: the bank and your system. That is what the program means by documenting all financial transactions.

  • Make sure the payment terminal and payment gateway are registered to the business, not to an individual.
  • Have invoices issued by the point-of-sale or accounting system itself, not from a template filled in by hand.
  • Store invoices in one searchable, exportable place, with a backup you have actually tested restoring.

90 days after registration: the licence or the activity is struck off

In a separate release, the Ministry urged owners to obtain licences for activities that require one within 90 days of registering them in the commercial register. Article 4 of the Implementing Regulations of the Commercial Register Law obliges the trader to do so, and requires the activity to be struck off if the period ends without the licence being issued, or without the trader proving it practises an activity that needs no licence.

The digital step is simple: for each activity in your commercial register, record its registration date, whether it needs a licence, the deadline, and each licence's renewal date, with a reminder weeks before every date. A shared spreadsheet is enough for a small business; an ERP handles it in a larger one.

Wages and contracts: what gets documented electronically

3 criteria concern the workforce: Wage Protection registration, recorded wage data, and all contracts documented electronically. If an employee's salary is paid in cash or from a personal account, that breaks both the account criterion and the wage criterion. The easiest route is a payroll that comes out of one system feeding the government platforms, as we explained in our article on integrating your systems with Qiwa, Mudad and GOSI.

Enforcement is not theoretical: the Ministry carried out more than 40,000 inspection tours in September and October on the 2026 seasonal sales rules alone, according to its November 1 release.

The Origami view

We read these criteria as a shift from the question of who owns the business on paper to the question of what its data says. A business whose money flows through its own account, whose invoices come from its own system and whose wages go through regulated channels has its evidence ready for any inquiry.

This does not take a big project. For most small businesses, a separate bank account, a point-of-sale or accounting system that issues invoices, and a bank feed into the accounts are enough. If you need help connecting these systems, reach us through our services page.

Conclusion: a checklist for this week

  1. Move every collection and payment channel to the business account, and stop using your personal account for them.
  2. Make sure electronic payment is available to customers, and that terminals and gateways are in the business's name.
  3. Issue and store invoices electronically from one system.
  4. Review the activities in your commercial register: which need a licence, and how many of the 90 days are left?
  5. Confirm wages are registered and contracts documented electronically.
  6. Update the business addresses and register data.

Frequently asked questions

What are the 10 market rules against commercial concealment in Saudi Arabia?

Criteria announced by the National Anti-Concealment Program on October 29, 2026: an active, updated commercial register, a dedicated business bank account, no personal accounts in business dealings, renewed licences and updated addresses, Wage Protection registration and electronically documented contracts, no irregular workers, documented financial transactions, electronic payment options, invoices issued and stored electronically, and financing through regulated channels.

Can I receive my business's customer payments into my personal account?

It is not advisable. Among the compliance criteria the program announced are a dedicated business bank account and not using personal accounts in the business's dealings. Route the point-of-sale terminal, payment gateway and transfers to the business account.

What happens if I do not obtain the activity licence within 90 days of commercial register entry?

Under Article 4 of the Implementing Regulations of the Commercial Register Law, the activity is struck from the register if the period ends without the licence being issued for activities that require one, or without proof that the activity needs no licence.

Do I have to offer electronic payment in my shop?

Providing electronic payment methods is one of the criteria listed by the National Anti-Concealment Program, alongside issuing and storing invoices electronically. Ideally the terminal is registered to the business and linked to its account.
